HouseReady Service Agreement


This Service Agreement, together with any applicable Statement(s) of Work (“SOW”) (collectively, the “Agreement”), is entered into by and between HouseReady (“HouseReady,” “we,” “our,” or “HR”) and the client identified in the SOW (“you” or “Client”). This Agreement is effective as of the Proposal Date stated in the applicable SOW.


By signing the SOW, you agree to engage HouseReady to perform the services described therein (the “Services”), subject to the following terms and conditions. Each of HouseReady and Client may be referred to individually as a “Party” and collectively as the “Parties.”


1. General Terms

This Agreement governs all Services provided by HouseReady for your project (“Project”). We are obligated to perform only the Services described in an executed SOW. Any additional services (“Additional Services”) must be mutually agreed upon in writing via a new or amended SOW.

If there is any conflict between the terms of this Agreement and an SOW, the SOW will control. Fees and costs for Additional Services will be based on HouseReady’s rate structure in effect at the time such services are requested, unless otherwise agreed in writing.


2. Project Details


a. Start Date
We will begin and complete Services in accordance with the timeline outlined in the applicable SOW.


b. Membership
Membership fees and payment instructions are detailed in Section 4 of this Agreement and in your SOW. Your membership fee serves as the Project deposit and must be paid before the Start Date. Certain projects may require the services of additional vendors or specialized equipment; these details and related costs will be specified in your SOW.


Virtual Consultations
If your initial consultation is conducted virtually, any estimates provided are non-binding and subject to adjustment after an in-person site visit. Final pricing will be confirmed in your SOW.


3. Fees

Our fees are determined by the scope of your Project, the required expertise of our staff, and any related costs (including third-party vendor or equipment rental fees).

  • Membership Rate: As specified in your SOW.

  • Non-Membership Rate: $110/hour, with a minimum charge for on-site visits.

  • Payment: All Project fees are due on or before the Completion Date, as stated in your SOW.

a. Appointment Cancellation
If you cancel an appointment less than 48 hours in advance or fail to appear, you agree to pay up to $250 or the full agreed Service fee, whichever is less. Additional cancellation provisions, once work has begun, will be set forth in your SOW.


b. Changes in Project Scope
Any change to the agreed Project scope may require Additional Services, additional costs, and/or extended timelines. All changes require written approval by both Parties. Additional Services will be billed at our standard rates unless otherwise agreed in writing. Payment for scope changes must be made in advance of the work.


c. Late Payment
Payments are considered past due if not received within 30 days of invoice date. A $45 late fee may be applied to payments more than five (5) business days late. Invoices more than 30 days overdue may accrue interest at 7% per annum until paid in full.


4. Payment Methods

Payments may be made via our secure online payment portal. We accept:

  • MasterCard, Visa, American Express

  • ACH/wire transfer

  • Cash or check


Returned checks are subject to a $45 NSF fee plus any bank-imposed charges.


5. Term, Renewal, and Termination


a. Term
This Agreement remains in effect until completion of the Services described in the applicable SOW.

b. Renewal for Delays
If delays occur, the Agreement and applicable SOW will automatically renew on a month-to-month basis while Services remain ongoing, unless otherwise terminated.

c. Termination
Either Party may terminate this Agreement at any time by written notice. Termination is effective upon:

  • Completion of Services and payment of all outstanding amounts, or

  • Written notice by one Party to the other, provided all outstanding fees are paid.


6. Limitation of Liability

To the fullest extent permitted by law, HouseReady’s total liability for any claim arising out of or relating to this Agreement shall not exceed the total payments made by you under this Agreement. In no event will HouseReady be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits. This limitation does not apply to liability for death or personal injury where prohibited by law.



7. Miscellaneous Provisions


a. Governing Law; Jurisdiction; Waiver of Jury Trial
This Agreement will be governed by the laws of the State of Michigan, without regard to conflicts of law principles. The Parties consent to the exclusive jurisdiction of the courts in Jefferson Country, Louisville, Kentucky The Parties knowingly and voluntarily waive any right to a jury trial in any dispute arising out of or related to this Agreement.


b. Entire Agreement; Amendments
This Agreement and all executed SOWs represent the full and final agreement between the Parties. Any amendment must be in writing and signed by both Parties. Failure to enforce any term does not constitute a waiver of that term.


c. Attorney’s Fees
In any legal action to enforce rights under this Agreement, the prevailing Party is entitled to recover reasonable attorney’s fees and costs.


d. Best Efforts
Both Parties agree to act in good faith and use their best efforts to fulfill obligations under this Agreement.


e. Assignment
Neither Party may assign rights or delegate obligations without written consent from the other, except HouseReady may engage subcontractors to perform certain services.


f. Notice
Notices must be in writing and sent via certified or registered mail, or by commercial courier, to the addresses stated in the SOW or as otherwise provided in writing.


g. Dispute Resolution
Before initiating legal proceedings, the Parties will attempt in good faith to resolve disputes through negotiation.


h. Limitation on Actions
No legal action may be brought against HouseReady under this Agreement more than two (2) years after the event giving rise to the claim.


i. Lien Rights
HouseReady reserves the right to place a lien on property (real or personal) until all outstanding sums are paid.


j. Independent Contractor Status
The Parties are independent contractors. This Agreement does not create any agency, partnership, or employment relationship.


k. Binding Effect
This Agreement is binding upon and benefits the Parties and their respective successors and permitted assigns.


l. Severability
If any provision is found invalid, the remaining provisions remain in effect.


m. Force Majeure
Neither Party is liable for delays or failures to perform (except payment obligations) due to causes beyond their reasonable control, including but not limited to natural disasters, strikes, governmental actions, or other events of force majeure.
